These Terms of Service ("Terms") govern your access to and use of the websites, platform, and services provided by LogiFrame LLC ("LogiFrame," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
You must be at least 18 years old to use the Services. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
LogiFrame provides a platform to build, orchestrate, and govern AI workflows and agents. We may add, modify, or discontinue features over time. We will use commercially reasonable efforts to provide the Services in accordance with applicable documentation and any service level commitments in your plan.

You retain all rights to the data and content you submit ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Services. You are responsible for ensuring you have the rights necessary to submit Customer Content and that its use complies with applicable law.
Paid plans are billed in advance on the cadence shown at purchase. Fees are non-refundable except as required by law or expressly stated. Metered usage beyond plan allowances is billed in arrears. We may change pricing with prior notice effective at your next renewal. Overdue amounts may incur suspension of the Services.
Free and trial offerings are provided "as is" and may be modified or discontinued at any time. We may set usage limits on these plans.
The Services, including all software, designs, and trademarks, are owned by LogiFrame or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.
The Services may interoperate with third-party products, including model providers and integrations you connect. We are not responsible for third-party services, and your use of them is governed by their terms.
Each party may access non-public information of the other. The receiving party will protect such information with reasonable care and use it only to perform under these Terms.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated outputs may be inaccurate or incomplete; you are responsible for reviewing outputs before relying on them.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LOGIFRAME IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold LogiFrame harmless from claims arising out of your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.
These Terms remain in effect while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. Upon termination, your right to use the Services ends and we will make Customer Content available for export for a limited period as described in your plan.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute not subject to arbitration, and the parties consent to their jurisdiction.
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
